{"id":280234,"date":"2022-07-22T15:53:00","date_gmt":"2022-07-22T22:53:00","guid":{"rendered":"https:\/\/jthelander.com\/?p=280234"},"modified":"2022-07-22T15:53:00","modified_gmt":"2022-07-22T22:53:00","slug":"which-industries-are-seeing-the-most-mergers-and-acquisitions","status":"publish","type":"post","link":"https:\/\/brightturn.io\/?p=280234","title":{"rendered":"Which Industries are Seeing the Most Mergers and Acquisitions?\u00a0"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\">In July&#8217;s&nbsp;Thelander Digest, we examine where we&#8217;re seeing the most amount of mergers and acquisitions and if industry makes a difference in the likelihood of companies having a carve-out plan in place.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">As our data shows in the graph below, there have been more mergers and&nbsp;acquisitions in&nbsp;tech compared to biotech and medical device companies in the last 24 months.&nbsp;<\/p>\n\n\n\n<figure class=\"wp-block-image img-border\"><img decoding=\"async\" src=\"https:\/\/jthelander.com\/wp-content\/uploads\/509e9fab-b87b-6477-30d1-47816a2777b6.png\" alt=\"Industry breakdown of companies that have been involved in buying or selling a company\/in an acquisition or merger in the last 24 months\"\/><\/figure>\n\n\n\n<p class=\"wp-block-paragraph\">As shown in the charts below, Thelander data further indicates:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Despite tech companies being the most prominent in terms of involvement in M&amp;A deals, Medical Device companies actually had the highest percentage of carve out plans in place.<\/li>\n\n\n\n<li>Tech companies were the least likely to have their carve out plans prepared in advance and biotech companies were the most likely.<\/li>\n\n\n\n<li>The relative preparedness of biotech and medical device companies compared to tech may reflect the importance of key technical and scientific staff to the continued operations of life science companies.<\/li>\n<\/ul>\n\n\n\n<figure class=\"wp-block-image img-border\"><img decoding=\"async\" src=\"https:\/\/jthelander.com\/wp-content\/uploads\/07e19784-c09a-11ce-2c1d-771a7c92ea51.png\" alt=\"In the event of a merger or acquisition, do you have a bonus plan...\"\/><\/figure>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>What is a carve out plan and why are they important?&nbsp;<\/strong>A carve out plan is essentially a bonus given to key employees in the event of a merger or acquisition. The size of the bonus pool is determined by&nbsp;<em><strong>carving out<\/strong><\/em>&nbsp;a portion of the deal proceeds. Companies utilize carve out plans to ensure &#8220;buy-in&#8221; among key employees who hold common stock that may have little or no value in the deal by ensuring them a cash payout.
